Ministry of Corporate Affairs has provided a platform to develop a databank of Independent directors by way of empanelment of existing Independent Directors as well as the professionals aspiring to become independent directors. Accordingly, any person who is willing to be appointed or is already an Independent Director is required to pass an ‘Online Proficiency Self-Assessment Test’ conducted by Indian Institute of Corporate Affairs (IICA) with at least 50% passing marks.

In order to assist you to pass the online test, Institute of Directors, the Knowledge Partner of IICA, is organizing ‘Orientation Programme for Independent Director’s Proficiency Test.

Ans. 2 Half days in case of Online/Virtual mode and 1 full day in case of physical classroom training

Ans. The registration fee for the programme includes one year Complimentary membership of IOD (to Non- members). However, if you would like to enroll for annual membership in advance, you will be entitled to get 15% discount on Orientation Programme for ID's Proficiency Self-Assessment Test by IOD.

Ans. As per Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2020, every Independent Director and Aspiring Independent Director who have served as Director is required to pass an Online Proficiency Self-Assessment Test.

Ans. As per the explanation provided for Rule 6 (4) of the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2019, there shall be no limit on the number of attempts an individual may take for passing the online proficiency self-assessment test.

Ans. As per the explanation provided for Rule 6 (4) of the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2019 “an individual who has obtained a score of not less than fifty percent (50%) in aggregate in the online proficiency self-assessment test shall be deemed to have passed such test”.

Ans. Individuals not exempted are required to pass the online proficiency self-assessment test within 2 years of their inclusion of their name in the databank.
