Guardians of the Boardroom
Blending philosophy with pragmatism, Guardians of the Boardroom redefines what it means to lead with purpose, question with integrity and govern with wisdom. This book arrives at a moment when trust, transparency and accountability are no longer optional virtues, but decisive measures of corporate success.
Across twelve chapters, Dr. Dehury examines the expanding responsibilities of Independent Directors in complex promoter-driven boardrooms. The book explores the delicate balance between committee duties and collective board accountability, reminding readers that “Oversight fragmented across committees must still converge into unied board responsibility.”
The metaphor of the 'Owl in the Boardroom' captures the essence of governance wisdom, where vigilance and foresight are as critical as technical expertise. Drawing on the ethical triad of Satyam, Shivam, Sundaram, the book offers a moral framework for decision-making, noting that “Governance failures rarely begin with numbers. They begin with values quietly compromised.”
Particularly compelling are the chapters addressing crises, scandals and risk oversight, where IDs are called upon to act decisively under pressure. The author questions the authenticity of independence in promoter-led structures, observing that “Too many directors are independent by title, yet dependent by design.”
What Sets This Book Apart: The Board Oversight Toolkit Judgment-driven questions that sharpen ethical oversight and turn directors into true guardians of governance.
This Book is for: Guardians of the Boardroom is essential reading for Independent Directors, board chairs, senior executives, regulators, governance professionals and scholars of corporate governance. It is equally valuable for aspiring directors seeking to understand not just the mechanics of governance, but its moral responsibility.
The book powerfully concludes, “Boards do not fail for lack of information. They fail for lack of wisdom.”
